The problem

Most capital-raise mistakes are made before the first investor says yes.

Under ISA 2025, virtual and digital assets and investment contracts are securities. Calling an instrument a "SAFE," a "SAFT" or a "utility token" doesn't change that.

I'm a Nigerian law graduate who has spent the past 18+ months studying tokenization economics, ISA 2025, SEC digital-asset rules and cross-border structuring (US, EU and offshore) from the founder's side of the table.

I started AFROID because too many African founders are sold token strategies before anyone asks whether they need one, and too many receive templates written for other legal systems.

Common questions

Is a SAFE or SAFT legal in Nigeria?

They aren't illegal, but neither is a native Nigerian instrument. Under ISA 2025, investment contracts and digital assets are securities, so how an instrument is structured, who it is sold to, and whether SEC requirements apply all matter. That is what we map for you.

Will you tell me not to tokenize?

If that's the honest answer, yes. Many early-stage projects are better served by raising equity first. You'll get the reasoning in writing, plus a roadmap for what would need to change.

Are you a law firm? Do I still need a lawyer?

AFROID is an advisory firm, not a law firm. We prepare structure, analysis and drafts, and we recommend you have your own Nigerian capital-markets counsel review them before signing or filing.

Do you work with founders outside Nigeria?

Yes, for raises with a Nigerian or wider African dimension. Where EU, UK or US law is involved, we coordinate with independent specialist partners in those jurisdictions.
